Terms of Service

By accessing or using VeriFran ("the Platform"), including the FitScore assessment, franchise matching services, and any related features, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

VeriFran is a franchise candidate intelligence platform that:

• Provides AI-powered franchise readiness assessments ("FitScore") for candidates
• Connects qualified franchise candidates with franchise brands
• Offers franchise development tools for franchisors, including candidate pipeline management and location intelligence

VeriFran is an independent platform and is not affiliated with, endorsed by, or partnered with any specific franchise brand unless explicitly stated.

You must be at least 18 years of age to use the Platform. By using VeriFran, you represent that you are of legal age to form a binding contract in your jurisdiction.

• You are responsible for maintaining the confidentiality of your account credentials
• You agree to provide accurate and complete information when creating an account or completing an assessment
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized use of your account

• The FitScore is an informational tool designed to help you understand your franchise readiness. It is not financial advice, legal advice, or a guarantee of franchise success
• FitScore results are generated by AI based on your self-reported responses. Accuracy depends on the truthfulness and completeness of your answers
• Scores are calculated using our proprietary methodology and may change as we improve our algorithms
• A high FitScore does not guarantee acceptance by any franchise brand. A low FitScore does not mean you cannot succeed as a franchise owner
• The FitScore assessment is free for candidates. We reserve the right to change pricing at any time with notice

• VeriFran may connect candidates with franchise brands based on FitScore results and stated preferences, only with the candidate's explicit consent
• VeriFran does not guarantee any outcome from franchise introductions - including Discovery Day invitations, franchise approval, or business success
• Any franchise purchase decision is solely between the candidate and the franchisor. You should conduct your own due diligence, review the Franchise Disclosure Document (FDD), and consult with a franchise lawyer before signing any agreement
• VeriFran is not a franchise broker and does not receive commissions from franchise sales

If you are using VeriFran as a franchisor:

• You represent that you have the legal authority to operate your franchise system
• You agree to comply with all applicable franchise laws, including provincial disclosure requirements
• You may only access candidate profiles that have been explicitly shared with you through the Platform
• Subscription fees are billed according to the pricing plan you selected. You may cancel at any time; cancellation takes effect at the end of the current billing period
• We reserve the right to suspend or terminate franchisor accounts that violate these terms or applicable franchise regulations

You agree not to:

• Provide false or misleading information in assessments or registrations
• Attempt to manipulate FitScore results or the matching algorithm
• Use the Platform to spam, harass, or contact users outside of the intended matching process
• Scrape, crawl, or use automated tools to extract data from the Platform
• Reverse-engineer, decompile, or attempt to extract the source code or algorithms
• Use candidate data obtained through VeriFran for any purpose other than legitimate franchise recruitment
• Impersonate another person or entity
• Violate any applicable law, regulation, or third-party rights

• The VeriFran name, logo, FitScore methodology, and all Platform content are owned by VeriFran and protected by intellectual property laws
• You retain ownership of the information you provide (assessment responses, personal data)
• By using the Platform, you grant VeriFran a license to use your anonymized, aggregated data for industry research and platform improvement

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF FITSCORE RESULTS OR ANY FRANCHISE MATCHING OUTCOMES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFRAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS OPPORTUNITIES, OR DATA, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO VERIFRAN IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 CAD, WHICHEVER IS GREATER.

You agree to indemnify and hold VeriFran harmless from any claims, damages, or expenses arising from your use of the Platform, your violation of these terms, or your violation of any third-party rights.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms shall be resolved in the courts of Ontario, Canada.

We may modify these terms at any time. We will notify you of material changes by email or by posting a prominent notice on the Platform. Continued use of VeriFran after changes constitutes acceptance of the updated terms.

We may suspend or terminate your access to the Platform at any time for violations of these terms. You may stop using the Platform at any time. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including limitations of liability, indemnification, and governing law) will survive.
